A customer pays an invoice issued by a Zimbabwe trading subsidiary, but the money arrives in the bank account of the group’s shared-services company. The trading company still shows a receivable. Shared services shows cash. The consolidated report may look close to correct while the legal-entity ledgers remain unreconciled.
That is the real test of multi-company accounting in SERPA Odoo ERP: each entity needs complete books and tax evidence, while the group needs matched intercompany balances and correctly eliminated intragroup activity. Selecting multiple companies on a reporting screen is not the same as financial consolidation.
Begin with legal structure, not an Odoo company selector
Map each incorporated company, parent, subsidiary, branch and shared-services operation before configuring accounting. Identify which entity signs customer contracts, owns inventory, raises invoices, employs staff and receives bank payments. Branches are internal subdivisions of a legal entity; separately incorporated subsidiaries have distinct statutory accounting and tax responsibilities.
Odoo 20 distinguishes branches from companies and supports company-specific accounting records, counterpart intercompany documents and consolidation tools. The availability of particular clearing or consolidation features still depends on the installed edition, modules and configuration. Verify these in the customer’s production environment before promising automation.
| Design element | Operational purpose | Control test |
|---|---|---|
| Legal-entity ledger | Keep company transactions and statutory records separate | Can each entity produce its own trial balance and tax record? |
| Intercompany documents | Link sales, purchases, recharges and stock transfers | Is every side matched to its counterpart? |
| Clearing accounts | Explain collections or payments handled by another entity | Can finance trace the original customer and settlement? |
| Consolidation layer | Map accounts and post group eliminations | Are adjustments excluded from ordinary entity reporting? |
| Close calendar | Resolve timing, currency and inventory exceptions | Are balances matched before the group pack is approved? |
Why a combined report is not a consolidated account
Consolidation must remove transactions within the group that are not external economic activity. These include reciprocal receivables and payables, intragroup revenue and corresponding costs, and profit still embedded in inventory held by another group company. Without those adjustments, group turnover, balances or inventory can be overstated.
Odoo’s consolidation approach uses account mapping and multi-ledger reporting to organise company information and group adjustments. Regular entity ledgers and consolidation adjustments must be distinguished: Odoo 20 release notes identify a change in the inclusion of journals in multi-ledger consolidation. An implementation team should test how the configured ledgers select adjustment journals rather than assume a combined-company view performs eliminations automatically.
Zimbabwe’s accounting framework includes the Public Accountants and Auditors (Prescription of International Standards) Regulations, SI 137 of 2026. Publicly accountable entities apply IFRS Accounting Standards, while eligible smaller entities may apply IFRS for SMEs. Determine the applicable reporting framework and the company’s obligations before designing the year-end close. The accounting policy, not a software toggle, decides what belongs in consolidated statements.
Case: when shared services receives the customer payment
Suppose a trading subsidiary issues the invoice and shared services receives the settlement. The group must clear the customer’s debt in the correct company, record the amount due between entities and reconcile both sides. Odoo 20 documents an intercompany clearing feature for this situation, including a dedicated intercompany module, configured accounts and a suitable outstanding-receipts payment method.
The work is not complete simply because the customer invoice appears paid. Finance should confirm which entity legally received the funds, that the two intercompany balances agree, that no duplicate customer income was created, and that the group elimination has retained the underlying evidence. Avoid a one-sided suspense journal intended to make the consolidated total look correct.
Build the controls in the right sequence
-
Set company boundaries. Create legal entities and branches appropriately, with named finance owners and company-level access rules.
-
Configure entity-specific tax and journals. Review Zimbabwe’s 15.5% standard VAT rate, applicable fiscal invoice settings and the treatment of genuine supplies between legal entities.
-
Enable and test counterpart documents. Where supported, connect intercompany sales, purchasing, vendor bills, stock movements and credit notes with traceable references.
-
Create matched clearing accounts. Document how shared-service collections, central payments, recharges and group funding appear in both entities.
-
Reconcile before consolidating. Match counterpart balances by reference, legal entity, currency, period and age before preparing group eliminations.
-
Approve and retain group adjustments. Separate the preparer and reviewer for consolidation journals; preserve the reason, backing records, period and treatment of unrealised margins.
A stock-transfer illustration without invented amounts
Company A transfers goods to Company B at a price above their original cost. The entities recognise the transaction according to their legal and accounting responsibilities, including any applicable Zimbabwe fiscal documentation. If Company B still holds the goods at group reporting date, the group eliminates the internal sale and the margin not yet earned from an external customer. This adjustment belongs in group accounts; it must not erase the underlying entities’ tax records.
Zimbabwe’s 2026 TaRMS rules add an operational concern. Domestic input VAT depends on valid FDMS invoices with correct buyer information. An intercompany transaction can be matched in Odoo and still be incomplete for fiscalisation. Test the invoice end to end before relying on counterpart-document automation.
Measure how reliably the group closes
| Indicator | What management should review | Why it matters |
|---|---|---|
| Matched intercompany balances | Share matched before close and age of open items | Shows whether reciprocal records agree |
| Manual adjustment activity | Reason, volume and timing of manual journals | Highlights processes still repaired outside workflows |
| Inventory unrealised margin | Unsold related-party stock and its embedded margin | Prevents overstatement of group profit |
| Days to group close | Elapsed days from entity close to approved results | Tests whether the reporting process is repeatable |
| Audit exceptions | Unresolved missing invoices, approvals or clearing items | Tests quality of the source-to-report trail |
“Account mapping makes company results comparable. Reconciliation and elimination make the consolidated result credible.”
Frequently asked questions
Can Odoo automatically produce consolidated financial statements?
It provides tools for multi-company reporting, account mapping and consolidation adjustments. Proper consolidation still requires an approved accounting policy, matched transactions, elimination journals and review.
Are branches treated like separate subsidiaries?
No. Branches generally share the legal entity’s accounting framework. Separate subsidiaries need their own books and entity-level compliance before group consolidation.
What if one entity receives another entity’s money?
Document the original sale, payment and intercompany balances and use an approved clearing process. Odoo 20 includes a configurable intercompany clearing workflow where the relevant module and prerequisites are installed.
The SERPA implementation decision
SERPA can assess legal-entity structure, intercompany movements, VAT localisation, clearing and consolidation controls before a group migrates into Odoo ERP. Request a consultation to design a close that gives the board reliable group results without weakening any company’s statutory records.
